Since the first edition was published 20 years ago, this large-scale commentary on the German Limited Liability Companies Act (GmbHG) has established itself as an indispensable standard work in corporate law. Der Erfolg der GmbH als Rechtsform ist ungebrochen. Er ist nicht zuletzt auf die grosse Flexibilitat des GmbH-Rechts zuruckzufuhren. Ziel des Kommentars ist neben der sorgfaltigen Dokumentation des Meinungsstands und der Vielzahl einschlagiger Gerichtsentscheidungen vor allem auch die Darstellung tragender Grundgedanken der gesetzlichen Regelungen und der richterrechtlichen Entwicklungen. Die vorliegende 4. Auflage ist komplett uberarbeitet: in Kraft getretene Reformgesetze, aktuelle Rechtsprechung und neu erschienene wissenschaftliche Beitrage sind einbezogen. Nicht zuletzt die fortschreitende Digitalisierung der Ablaufe innerhalb und ausserhalb der GmbH und ihre Verrechtlichung bringen einen nicht unerheblichen Anpassungsbedarf mit sich. Auch kommt es zu einer Anderung im Bearbeiterkreis – Samy G. Sharaf hat von Irmgard Heinrich die Kommentierung des 4 ubernommen, Matthias Casper von Jorg Paura die Kommentierung des 5a sowie Rudiger Veil von Thomas Raiser die Kommentierung der 13, 14. Zudem wird die Kommentierung des 6 nunmehr von Walter Paefgen gemeinsam mit Kai Wallisch verantwortet. Band 2 erscheint voraussichtlich 2026, Band 3 voraussichtlich 2027. Der Kommentar erscheint in drei Banden und wird nur geschlossen abgegeben.
